By accessing or using the Value Verse website (the "Site") or our services (the "Services"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Site or Services.

Value Verse provides design, development, marketing, automation, and related professional services. Specific deliverables, fees, timelines, and acceptance criteria are governed by a separate statement of work or order form.

Unless otherwise agreed in writing, fees are billed monthly in advance and are non-refundable. Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

Upon full payment, you receive a worldwide, perpetual licence to use deliverables for their intended purpose. Value Verse retains ownership of pre-existing IP, methodologies, and frameworks used in producing the deliverables.

Each party agrees to keep the other's non-public information confidential and to use it only to perform the engagement.

The Site and Services are provided "as is" without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Value Verse's aggregate liability arising out of or relating to the Site or Services will not exceed the fees paid by you in the 3 months preceding the claim. In no event will we be liable for indirect, incidental, special, consequential, or punitive damages.

You agree to indemnify Value Verse against claims arising from your misuse of the Site or Services, or from content you supply for use in deliverables.

Either party may terminate an engagement for convenience with 30 days' written notice, or immediately for material breach not cured within 15 days of notice.

These Terms are governed by the laws of the jurisdiction where Value Verse is incorporated, without regard to conflict-of-law principles.

We may update these Terms from time to time. Continued use of the Site or Services after changes constitutes acceptance.
